These Terms of Service (“Terms”) govern your use of services, solutions, and website provided by DBR Soft Inc. (“DBR Soft Inc.,” “we,” “our,” or “us”). By engaging our services, purchasing products, or accessing our website, you agree to these Terms.

1. Services
DBR Soft Inc. provides Managed IT Services, Cloud Solutions, and Value-Added Reseller (VAR) offerings including hardware, software, licensing, and related support.
Services are provided under the terms of client agreements, service contracts, or statements of work. Specific terms, deliverables, and service levels may be defined in separate agreements with each client.
2. Eligibility
Our services are intended for businesses, organizations, and professionals. By using our services, you represent that you are authorized to act on behalf of your organization and to bind it to these Terms.
3. Client Responsibilities
Clients agree to:
- Provide accurate and up-to-date information required for service delivery.
- Maintain proper licensing and legal use of software and hardware.
- Ensure staff comply with reasonable security practices (e.g., not sharing passwords).
- Use services only for lawful purposes and in compliance with applicable laws.
4. Fees and Payment
- Fees are defined in service agreements, quotes, or invoices.
- Payments are due according to the agreed billing cycle.
- Late payments may be subject to interest charges or service suspension.
- Hardware, software, and licenses may be billed upfront unless otherwise stated.
5. Warranties and Disclaimers
- DBR Soft Inc. provides services on a best-effort basis and makes no guarantee of uninterrupted or error-free operation.
- Hardware and software sold by DBR Soft Inc. are subject to the warranties of their respective manufacturers or vendors.
- Except as expressly stated, DBR Soft Inc. disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by law:
- DBR Soft Inc. is not liable for indirect, incidental, consequential, or punitive damages, including data loss, business interruption, or lost profits.
- DBR Soft Inc.’s total liability is limited to the amount paid by the client for the specific service giving rise to the claim in the 12 months preceding the incident.
7. Confidentiality
Both DBR Soft Inc. and the client agree to keep confidential any non-public business, technical, or personal information disclosed during service delivery, except where disclosure is required by law.
8. Data Protection & Privacy
DBR Soft Inc. manages personal information in accordance with our Privacy Policy and applicable Canadian privacy laws (including PIPEDA). Clients remain responsible for their own compliance with privacy obligations.
9. Third-Party Services
Some services involve third-party vendors, platforms, or products. DBR Soft Inc. is not responsible for the acts, omissions, or failures of these third parties. Clients are subject to those third parties’ terms and conditions.
10. Termination
Either party may terminate services by providing written notice as defined in the client agreement.
DBR Soft Inc. may suspend or terminate services immediately if:
- The client breaches these Terms or any service agreement.
- Payment obligations are not met.
- Continued service poses security, legal, or operational risks.
11. Intellectual Property
- All DBR Soft Inc. trademarks, branding, and proprietary content remain our property.
- Clients retain ownership of their own data.
- Deliverables created by DBR Soft Inc. under a contract may be subject to licensing or ownership terms set out in the applicable agreement.
12. Governing Law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada. Any disputes will be subject to the jurisdiction of the courts of Quebec.
13. Changes to Terms
We may update these Terms from time to time. Updates will be posted on our website with a revised “Last Updated” date. Continued use of services constitutes acceptance of the updated Terms.
